These terms and conditions (“Terms”) are a legally binding and enforceable agreement between Oil Refineries Ltd and its applicable affiliated companies and subsidiaries (“Bazan Group”, “we”,  “our”, or “us”) and users (“user”, “you” or “your”) who access, browse or otherwise interact with our website available at: www.bnnovation.co.il (“website”).

 

ACCEPTANCE OF THE TERMS: IT IS IMPORTANT AND RECOMMENDED THAT YOU TAKE THE TIME TO READ THESE TERMS – BY ACCESSING, BROWSING OR OTHERWISE USING OUR WEBSITE YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND AGREE TO BE BOUND BY THESE TERMS. YOU AGREE TO BE BOUND BY THESE TERMS AND TO COMPLY WITH ALL APPLICABLE LAWS AND REGULATIONS REGARDING YOUR USE OF THE WEBSITE. The website provides information and resources regarding our business operations related to our “Bnnovation” related programs (“Bnnovation Programs“) and other content related thereto, including, inter alia, articles, contact information, images, text, logos, button icons, links, and other specialized content and features (collectively, the “Content”).

In addition, the website provides you with means of communication which you can use to contact us, for example, if you have any inquiry, you wish to sign up to our newsletter or to join our team.

Furthermore, the website may enable you to submit application to join our Bnnovation Programs, as detailed below.

The website may include links to third party websites and resources that are not operated or owned by us (“Third Party Content”). Your interaction with such content not operated by Bazan Group is subject to your acknowledgment and adherent with such third party’s terms of use and other applicable policies (such as privacy policy). We have no control over such Third-Party Content nor we are obliged to monitor it, and thus, your interaction with the Third-Party Content is at your own responsible and risk.

We reserve the right to change, modify, suspend, or discontinue any aspect of the website or Content at any time without notice to you and without any liability to you whatsoever in connection therewith.

Please note that your registration and use of the Blake Platform shall be further subject to the applicable terms of use, privacy policy and additional terms provided through registration for such program, or otherwise provided by us or executed prior to such access and use.

2. APPLICATION FOR BNNOVATION PROGRAMS

 

The website may provide you with the ability to submit an application to join one of our Bnnovation Programs, as offered by Bazan Group from time to time (“Application“). Please note, that submitting an Application does not create any binding relationship between you and us nor any guarantee on our behalf for any future engagement. We may, at our discretion, review your Application, and if we found it applicable, we will contact you, and may request for additional information. We are not obligated to provide any offer with regard to your Application nor provide any explanation regarding our decision. When you submit an Application, you hereby represent and warrant that that you will provide accurate and complete information in connection with your Application and that you have all rights and authorization to use any and all information, materials and documents provided as part of your Application and such will not infringe any third-party rights, including intellectual property rights.

 

3. REPRESENTATIONS AND WARRANTIES

 

You hereby represent and warrant: (i) you are eligible to enter into these Terms, or, where applicable, you have all proper authorization to enter into these Terms; (ii) you are at least eighteen (18) years of age and of legal competence to enter into these Terms; (iii) you will comply with all applicable laws regarding the use of our website and any features available therein, including the Content;  (iv) you shall not use the website and Content in unlawful, illegal, fraudulent or inappropriate manner; (v) you shall not circumvent, disable or otherwise interfere with security-related features of the website; (vi) you shall not copy, reproduce, republish, upload, post (unless where specifically permitted by us), transmit, or otherwise distribute, the website, Content, or any part thereof, nor remove, deface, obscure, or alter the website or any Content therein including any copyright notices, trademarks, or other proprietary rights; (vii) any information you will download from our website will be used solely for your personal, non-commercial needs; (viii) you shall not use the website and Content for benchmarking purposes; (ix) upload invalid data, viruses, worms, malicious code or other software agents through the website; (x) you shall not use our name, logo or trademarks without our prior written consent; and (xi) you shall not otherwise use the website and Content in any unlawful manner, in  a breach of third parties’ rights or our rights, including intellectual property rights and privacy rights, or in breach of these Terms.

The website and Content (excluding Third-Party Content) are owned or otherwise licensed to Bazan Group, including, but not limited to, any trade names, trademarks, etc. Except as explicitly provided herein, no license, right, title, or interest to the website or Content shall be licensed to you, and we reserve any and all rights, title, and ownership of the website and Content. You shall not use Bazan Group’s copyrights, trademarks, trade names, or other Intellectual Property in any way except to the limited extent as may be expressly agreed in these Terms.

 

5. DISCLAIMER AND LIMITATION OF LIABILITY

 

The website and Content are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including, without limitation, representations, warranties and conditions of accuracy, merchantability, fitness for a particular purpose, title, non-infringement, and those arising by statute or from a course of dealing or usage of trade, marketability, suitability, incompleteness, applicability or relevance of the website and Content. You agree that Bazan Group will not be held responsible for any decision made or action taken or not taken in reliance on the website and the Content nor do we assume any responsibility for any loss, injury or damages incurred as a result or in connection with such actions. Bazan Group does not make any representations, warranties or conditions of any kind, express or implied, as to the security of any information you may provide or activities you engage in during the course of your use of the website or Content. Applicable law may not allow the exclusion of certain warranties, so to that extent certain exclusions set forth herein may not apply.

You agree to defend, indemnify and hold harmless Bazan Group and its respective officers, directors, employees, and agents from any third party claims, damages, liabilities, and expenses (including reasonable attorney’s fees) arising from (i) your use of the website and Content that does not comply with these Terms including negligence and willful act; (ii) abusing or infringing third party rights through the website or Content; and (iii) your breach of any applicable law, regulation and policies. This indemnification obligation will survive the termination or expiration of these Terms.

A waiver by either party of any of the performance provisions of these Terms shall not be construed to be a waiver of any succeeding performance or breach. These Terms shall be governed by and construed in accordance with the laws of the State of Israel without giving rise to any conflict of law principals therein. You hereby agree to resolve any dispute you have exclusively in the competent courts of Haifa, Israel.
